1. Who we are
These Terms of Service ("Terms") govern your use of the website veritusventures.in and any services provided by Veritus Ventures (OPC) Private Limited ("Veritus", "we", "us"), a one person company registered in Uttar Pradesh, India, GSTIN 09AALCV8755H1ZK, with its place of business in Lucknow, Uttar Pradesh. By using this website or engaging our services, you accept these Terms.
2. Our services
Veritus provides operational consulting services, including a fixed-scope diagnostic engagement (the "Operational Audit") and optional implementation services such as process improvement, documentation, automation and related business systems. The specific scope, deliverables, timeline and fee of every engagement are confirmed in writing before work begins. Descriptions on the website are indicative and do not by themselves constitute an offer.
3. Fees and payment
Fees are quoted in writing per engagement, are exclusive of GST unless stated otherwise, and are payable as set out in the written quote. Work begins after the agreed advance or full payment is received. Refunds are governed exclusively by our Refund & Guarantee Policy.
4. Client responsibilities
Our findings depend on the information you provide. You agree to provide accurate, reasonably complete information, timely access to the relevant people, and prompt responses to reasonable requests. Delays or gaps caused by missing information may extend timelines and can affect eligibility under the guarantee.
5. Deliverables and intellectual property
On full payment, you receive a perpetual right to use all deliverables for your internal business purposes. Veritus retains ownership of its methodology, frameworks, templates, know-how and any material developed before or outside the engagement. Deliverables may not be resold, republished or provided to third parties offering competing services without our written consent.
6. Confidentiality
Each party will keep the other's non-public business information confidential and use it only for the engagement. We do not disclose client information to third parties except as required to deliver the services or by law. We may state the fact that you were a client, but will not publish specifics without your consent.
7. Estimates are professional opinion
Savings, impact figures and timelines in our reports are good-faith professional estimates based on the information available to us. They are not guarantees of business results. Actual outcomes depend on execution, market conditions and factors outside our control. See our Disclaimer.
8. Third-party tools and vendors
Where an engagement involves third-party software or platforms, your use of those tools is governed by the vendors' own terms and pricing. We are vendor-neutral, receive no commissions from tool recommendations, and are not responsible for third-party products or changes to them.
9. Limitation of liability
To the maximum extent permitted by law, Veritus's total aggregate liability arising out of or related to an engagement is limited to the fees actually paid by you for that engagement. We are not liable for indirect, incidental, special or consequential losses, loss of profits, loss of business or loss of data. Nothing in these Terms limits liability that cannot be limited under Indian law.
10. Termination
Either party may terminate an engagement in writing. If you terminate after work has begun, fees for work already performed remain payable. If we terminate other than for your breach, we will refund fees for work not yet performed.
11. Website use
The website content is provided for general information. You may not scrape, copy or republish website content for commercial purposes without permission. We may update the website and these Terms at any time; the version published here applies from its effective date.
12. Governing law and jurisdiction
These Terms and every engagement are governed by the laws of India. The courts at Lucknow, Uttar Pradesh have exclusive jurisdiction over any dispute, subject to any mutually agreed mediation first.
